Welcome to Keystone Supply Group (“Keystone,” “we,” “us,” “our”). Keystone operates this website and store, including all related information, content, features, tools, products, and services (collectively, the “Services”). Our store is powered by Shopify, which enables us to provide the Services to you.
These Terms of Service (the “Terms”), together with any policies referenced herein, describe your rights and responsibilities when you use the Services. By visiting, interacting with, or using the Services, you agree to be bound by these Terms and our Privacy Policy and Refund Policy. If you do not agree, do not use the Services.

1. ACCESS AND ACCOUNT
You represent that you are the age of majority in your jurisdiction (or have parental consent for any minor dependents using devices you own or manage). You may be asked to provide certain information (e.g., email, billing, payment, shipping). You warrant the information is accurate and that you have the right to provide it. You are responsible for safeguarding your credentials and all activity on your account. You may not transfer or assign your account.
2. OUR PRODUCTS
We strive to represent products accurately; however, colors/appearance can vary by device and settings. We do not warrant that any product will meet your expectations or exactly match images. Product descriptions, specifications, and availability are subject to change without notice. We may discontinue products or limit quantities to any person, region, or jurisdiction.
3. ORDERS
When you place an order, you make an offer to purchase. Keystone may accept or decline any order in its discretion. Orders are accepted upon our confirmation and successful payment processing. Review orders carefully; cancellation requests may not be accommodated after acceptance. If we modify or cancel an order, we’ll attempt to notify you using the contact details provided.
Your purchases are subject to our Refund Policy (linked above).
Regulated/Restricted Goods: Certain items (e.g., diagnostics, PPE) may require licenses, end-use/end-user assurances, or additional documentation. You represent that you will comply with applicable laws and provide requested documentation. If purchasing for resale or export, you warrant you hold all required authorizations and will comply with U.S. export/sanctions laws.
4. PRICES AND BILLING
Prices, discounts, and promotions may change without notice. The price charged is the price in effect at the time of order and appears in your confirmation. Unless stated otherwise, prices exclude taxes, shipping, handling, customs, and import charges. You agree to provide current, complete, and accurate purchase/payment information and to promptly update it as needed. You represent that you are authorized to use the payment method and agree to pay all charges plus applicable taxes and fees.
5. SHIPPING AND DELIVERY; RISK OF LOSS
Delivery times are estimates and not guaranteed. We are not liable for delays caused by carriers, customs, or events beyond our control. Title and risk of loss pass to you when the shipment is tendered to the carrier. Inspect packages upon receipt and notify us promptly of damage, shortage, or mis-shipment (see Section 10 and the Refund Policy).
6. INTELLECTUAL PROPERTY
All content and materials on the Services (including text, graphics, logos, images, video, audio, design and arrangement) are owned by Keystone, its affiliates, or licensors and protected by applicable IP laws. You may use the Services for personal or internal business use only. No rights or licenses are granted except as expressly stated. Keystone Supply Group names, logos, and related marks are trademarks of Keystone. Shopify and its marks are trademarks of Shopify Inc. Other names/logos are the property of their respective owners.
7. OPTIONAL TOOLS
We may provide access to third-party tools “as is” and “as available,” without warranties or endorsement. Your use is at your own risk and subject to the third party’s terms.
8. THIRD-PARTY LINKS
The Services may contain third-party materials or links. We are not responsible for their content, accuracy, policies, or practices, and we disclaim liability for your use of third-party sites or purchases. Review third-party terms before engaging.
9. RELATIONSHIP WITH SHOPIFY
This store is powered by Shopify. Sales and purchases are made directly between you and Keystone, not Shopify. You acknowledge that Shopify is not responsible for any sales, products, or services you obtain from Keystone and release Shopify from claims arising from your transactions with Keystone.
10. RETURNS, REPLACEMENTS, AND EXCEPTIONS
Returns are governed by our Refund Policy. Without limiting that policy, please note:
No returns on diagnostic tests (including COVID-19 and combo tests, OTC or professional use).
No returns on opened, used, or partially used goods of any kind.
PPE/hygiene items (e.g., masks/respirators, gloves, gowns, wipes, disinfectants, sanitizers) are final sale once opened.
Short-dated/clearance items and gift cards are final sale.
For damaged, defective, wrong, or missing items, contact us within 3 business days of delivery with your order number and photos of the product, inner packaging, outer carton, and shipping label. If approved, we’ll provide a replacement, reshipment, or refund per policy.

11. FEEDBACK
If you submit ideas, suggestions, reviews, or other content (“Feedback”), you grant Keystone a perpetual, worldwide, sublicensable, royalty-free license to use and display such Feedback for any lawful purpose. You represent you have the rights to grant this license, your Feedback is accurate and lawful, and you will disclose any incentives received.
12. ERRORS, INACCURACIES, AND OMISSIONS
Information on the Services may contain errors or omissions (e.g., descriptions, pricing, availability, shipping, transit times). We may correct or update information or cancel orders if information is inaccurate, at any time and without notice (including after submission).
13. PROHIBITED USES
You may use the Services only for lawful purposes. You may not, directly or indirectly: violate laws; infringe IP or privacy rights; harass or harm others; transmit false/misleading information; spam; upload malware; attempt unauthorized access; scrape or crawl without permission; interfere with security features; or misuse the Services. We may suspend or terminate access for violations.
14. TERMINATION
We may suspend or terminate the Services or your access at any time in our discretion. You remain liable for amounts due through the termination date. Sections that by nature survive (including IP, Feedback, Disclaimers, Limitation of Liability, Indemnification, Severability, Governing Law, etc.) will continue to apply.
15. DISCLAIMER OF WARRANTIES
Except as expressly stated by Keystone in writing, the Services and all products are provided “AS IS” and “AS AVAILABLE,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant uninterrupted, timely, secure, or error-free operation. Some jurisdictions do not allow certain disclaimers—those limitations may not apply to you.
16. LIMITATION OF LIABILITY
To the fullest extent permitted by law, Keystone and its officers, employees, agents, affiliates, contractors, service providers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits/revenue/savings, data loss, replacement costs, or similar damages arising from or related to the Services or products, whether based in contract, tort, or otherwise—even if advised of the possibility. Our aggregate liability shall not exceed the amount you paid for the applicable product(s) in the 3 months preceding the claim.
17. INDEMNIFICATION
You agree to indemnify and hold harmless Keystone and its affiliates, officers, directors, employees, agents, contractors, licensors, and service providers (and Shopify and its affiliates) from losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising from your breach of these Terms or violation of law/third-party rights.
18. SEVERABILITY
If any provision is unlawful, void, or unenforceable, it will be enforced to the maximum extent permitted, and the remainder will remain in full force.
19. WAIVER; ENTIRE AGREEMENT
Our failure to enforce a right or provision is not a waiver. These Terms and posted policies constitute the entire agreement between you and Keystone and supersede prior agreements regarding the Services.
20. ASSIGNMENT
You may not assign or transfer these Terms without our prior written consent. We may assign or transfer these Terms without notice.
21. GOVERNING LAW; VENUE
These Terms and any disputes arising from the Services are governed by the laws of the State of Minnesota, without regard to conflicts rules. You consent to exclusive jurisdiction and venue in the state or federal courts located in Hennepin County, Minnesota.
22. HEADINGS
Headings are for convenience only and do not limit these Terms.
23. CHANGES TO TERMS
We may update these Terms by posting a revised version on the website. Material changes will be noticed in accordance with applicable law. Your continued use after changes are posted constitutes acceptance.

25. B2B TERMS — INSTITUTIONAL AND WHOLESALE BUYERS
Net 30 Credit Terms: Net 30 payment terms are available to qualified organizations (hospitals, clinics, government agencies, schools, distributors) subject to credit approval. Keystone reserves the right to require advance payment or credit card payment on first orders pending account verification. Purchase Orders must reference an authorized order number and be submitted to orders@keystonesupplygroup.com. Unpaid invoices past 30 days are subject to a 1.5% monthly finance charge.
Tax Exemption: Organizations claiming tax-exempt status must provide a valid exemption certificate at time of order. Submit certificates to kevin@keystonesupplygroup.com before placing your first order. Tax exemptions are not applied retroactively to completed orders.
Pricing Validity: Quoted prices are valid for 30 days from the date of quote unless otherwise stated. Keystone reserves the right to adjust pricing due to manufacturer price increases, supply shortages, or currency fluctuations. We will notify you before processing any order at a price that differs from your original quote by more than 5%.
Force Majeure: Keystone shall not be liable for delays or inability to fulfill orders due to events beyond our reasonable control, including but not limited to: manufacturer supply disruptions, natural disasters, pandemics, port closures, carrier delays, government actions, or raw material shortages. We will communicate any such delays promptly and work to source equivalent alternatives wherever possible.
